Terms of Service

These terms are a binding agreement between you and Anti Electric, LLC, the company that operates Superchannel ("Superchannel", "we", "us"). By creating an account or using the service, you agree to them. If you don't agree, please don't use Superchannel. You must be at least 18 years old (or the age of majority where you live) to use the service.

The service

Superchannel provides tools for creators to build and manage a branded video website, sync and host content from YouTube, upload their own videos, and optionally sell memberships to their audience.

Your account

You're responsible for maintaining the security of your account and for all activity under it. You must provide accurate information and keep it current. You may not use the service for any illegal purpose or in violation of these terms.

Plans, licenses, and payments

Some features require a paid license. Prices and what each license includes are shown at the time of purchase, and payments are processed by Stripe. Where a license is described as "lifetime," it means for as long as we continue to operate the service — not a guarantee that the service will operate forever. We may change pricing for future purchases, but that won't affect a license you've already bought.

Refunds. If you buy a license and change your mind, email us within 14 days of purchase and we will refund it in full, provided the license has not yet been applied to a site that has published content or accepted members. After 14 days, or once a license is in use, purchases are final except where the law requires otherwise. Refunds to your members for memberships you sell are your responsibility (see Creator monetization below).

Creator monetization

If you sell memberships, payments from your members are processed through Stripe Connect, and you authorize Stripe and us to facilitate them. You are the merchant of record for your memberships and are responsible for what you offer, for any member refunds, and for any applicable taxes. We charge a platform fee on member payments — currently 15% of each payment on the free plan and 10% for pre-release license holders — shown in your account before you enable memberships; Stripe processing fees are charged separately by Stripe. Payouts are handled by Stripe and subject to the Stripe Connected Account Agreement. We are not a party to the agreement between you and your members and are not responsible for disputes between you and them.

Content and ownership

You retain ownership of the content you upload or sync to Superchannel. You grant us a non-exclusive license to host, store, process, and display that content as needed to operate the service. You represent that you have all rights necessary to your content and that it doesn't infringe anyone else's rights or violate any law. You are solely responsible for the content on your site.

Importing from YouTube

When you use our YouTube features, you also agree to the YouTube Terms of Service. You may only import content you own or are authorized to use, and you're responsible for complying with YouTube's terms and any third-party rights.

Acceptable use

You may not use Superchannel to post or distribute content that is unlawful, infringing, deceptive, harassing, or harmful; to violate others' rights; to attempt to disrupt or gain unauthorized access to the service; or to misuse it in any way. Sites hosted on Superchannel must comply with applicable laws.

Copyright and DMCA

We respond to valid copyright notices and may remove infringing content and terminate repeat infringers. If you believe content on Superchannel infringes your copyright, send a notice with the details required by 17 U.S.C. § 512(c)(3) to our designated copyright agent:

Include a description of the copyrighted work, the URL of the material you believe infringes it, your contact information, a statement that you have a good-faith belief the use is not authorized, a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, and your physical or electronic signature. If your content was removed and you believe that was a mistake, you may send a counter-notice to the same address with the information required by 17 U.S.C. § 512(g).

Suspension and termination

You can stop using the service and delete your account at any time. We may suspend or terminate accounts, or remove content, that violate these terms or that we determine, in our reasonable discretion, are harmful, infringing, or inappropriate. On termination, your right to use the service ends, and we may delete your data subject to our privacy policy and any legal retention requirements.

Service availability

We aim to keep Superchannel available and reliable, but we don't guarantee uninterrupted service. We may modify or discontinue features, with reasonable notice where practical.

Disclaimers and limitation of liability

Superchannel is provided "as is" and "as available," without warranties of any kind. To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, or for any loss of data, revenue, or audience, arising from your use of the service. Our total liability to you for any claim arising out of or relating to the service or these terms will not exceed the greater of the amount you paid us in the twelve months before the claim arose or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold Superchannel harmless from claims and costs arising out of your content, your use of the service, your memberships, or your violation of these terms or the rights of others.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at contact@superchannel.io and give us 30 days to try to resolve it informally. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. Nothing in this section prevents either party from seeking injunctive relief, or from bringing an eligible claim in small-claims court.

Changes to these terms

We may update these terms from time to time. We'll notify you of significant changes via email or through the service. Continued use after changes constitutes acceptance.
